Terms of Service
These terms explain the rules for using our website and the basis on which we provide our services. Please read them carefully.
01Agreement to these terms
These Terms of Service ("Terms") are an agreement between you and Aladin Commerce LLC, doing business as InfinitySpeed ("InfinitySpeed", "we", "us"), a limited liability company registered in the State of Delaware, United States, with its address at 125 Silver Lake Commons, Suite 4, Dover, DE 19901, United States.
They apply to your use of our website and, together with any signed service agreement, order form or statement of work (each an "Agreement"), to the services we provide. If an Agreement conflicts with these Terms, the Agreement controls.
By using our website or services, you confirm that you accept these Terms and that you have authority to bind the business you represent.
02Our services
We provide managed social media growth services, which may include audience research, persona design, content production and editing, account setup and management, community management and performance reporting (the "Services").
The exact scope, number of accounts, posting volume, deliverables and timelines for each client are set out in their Agreement. We may use our own staff, contractors and software tools, including AI tools, to deliver the Services.
03Your responsibilities
To help us deliver the Services, you agree to:
- Provide accurate information about your business, products and target audience
- Supply brand guidelines, assets and approvals within the timelines in your Agreement
- Make sure any materials you give us are yours to share and don't infringe anyone else's rights
- Tell us promptly about product claims, legal restrictions or sensitivities we should follow
- Not ask us to publish anything unlawful, misleading, defamatory or in breach of platform rules
When using our website, you agree not to interfere with its operation, attempt to gain unauthorized access, or use it for any unlawful purpose.
04Fees and payment
Fees are set out in your Agreement. Unless it says otherwise, retainers are invoiced monthly in advance and are due within 14 days of the invoice date.
Fees exclude applicable taxes, which you are responsible for. We may pause the Services if an invoice is more than 30 days overdue, after giving you written notice.
05Term and termination
Each engagement runs for the initial term in your Agreement and then continues month to month unless either party gives at least 30 days' written notice.
Either party may terminate immediately by written notice if the other materially breaches these Terms or the Agreement and doesn't fix the breach within 15 days of being told about it.
On termination, you pay for Services delivered up to the end date, and each party returns or deletes the other's confidential information. Sections 6, 8 and 10 to 13 survive termination.
06Content and intellectual property
Your materials. You keep all rights to your trademarks, logos, footage and other materials. You give us a limited license to use them only to provide the Services.
Content we create. Once the relevant fees are paid, we grant you a non-exclusive license to use the content we create for you on your own channels and marketing, as described in your Agreement.
Our tools and know-how. We keep all rights to our methods, software, templates, persona frameworks and other pre-existing materials.
Accounts. Ownership of, and access to, the social accounts we operate during an engagement, and what happens to them when it ends, are set out in your Agreement.
07Platform rules and disclosure
We operate all accounts in line with the terms and community guidelines of each platform we use, and with the advertising and endorsement disclosure laws that apply in the markets we post to, including the US Federal Trade Commission's Endorsement Guides.
Content that promotes your products will carry the disclosures those rules require, and AI-generated content will be labeled wherever a platform or law requires it. You agree not to ask us to remove or hide required disclosures.
Platforms can change their rules, features or enforcement at any time. We are not responsible for actions a platform takes, such as limiting reach or removing content, but we'll tell you promptly and work with you to respond.
08Confidentiality
Each party will keep the other's non-public business information confidential, use it only for the engagement, and protect it with reasonable care. This doesn't apply to information that is already public, independently developed, or that must be disclosed by law.
We will only name you as a client or publish results from your engagement, including in case studies, with your written permission.
09Data and privacy
We collect and use personal information, such as details you submit through our forms, as described in our Privacy Policy. Where we process personal data on your behalf, the terms of that processing will be set out in your Agreement or a separate data processing agreement.
10No guaranteed results
We'll provide the Services with reasonable skill and care. Social media performance depends on many factors outside our control, including platform algorithms and audience behavior, so we don't guarantee any particular number of views, followers, engagement, sales or other outcomes.
Except as stated in these Terms or your Agreement, the website and Services are provided "as is", and we disclaim all other warranties to the extent permitted by law.
11Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential losses, or for loss of profits, revenue or data.
Our total liability arising from the Services in any 12-month period is limited to the fees you paid us for the Services in that period. Nothing in these Terms limits liability that cannot be limited by law.
12Indemnification
You agree to defend and indemnify us against third-party claims arising from materials you provide, product claims you ask us to make, or your breach of these Terms. We agree to do the same for claims arising from content we create that infringes someone else's intellectual property, except where the claim comes from your materials or instructions.
13Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States. Both parties will first try to resolve any dispute through good-faith discussion. If that fails, disputes will be resolved in the state or federal courts located in Kent County, Delaware, unless your Agreement says otherwise.
14Changes to these terms
We may update these Terms from time to time. We'll post the new version here with an updated date and, for active clients, notify you by email at least 30 days before material changes take effect. Changes don't affect an Agreement already signed unless both parties agree.
